1. Services

Conta Online Consulting LLC provides accounting, tax preparation, tax advisory, bookkeeping, and business consulting services. Our services are designed for US-registered business entities, including LLCs and Corporations, owned by international founders and professionals.

2. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the performance of our services. This includes, but is not limited to, business formation documents, financial records, and tax-related information. Failure to provide timely and accurate information may affect the quality and timeliness of our services.

3. Scope of Services

The specific scope of services will be outlined in an engagement letter or service agreement provided to each client. Services not explicitly included in the engagement letter are outside the scope of our engagement and may require a separate agreement.

4. Fees and Payment

Fees for our services are outlined in the engagement letter or service agreement. Payment is due according to the terms specified therein. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days past due.

5. Professional Standards

We perform all services in accordance with applicable professional standards, including Generally Accepted Accounting Principles (GAAP) where applicable, IRS regulations, and state-specific compliance requirements.

6. Confidentiality

We maintain strict confidentiality of all client information in accordance with professional ethics standards and applicable law. Client information will not be disclosed to third parties without client consent, except as required by law or regulatory authorities.

7. Limitation of Liability

Our liability for services provided shall be limited to the fees paid for such services. We shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. This limitation applies to the fullest extent permitted by law.

8. No Legal Advice

Our services constitute accounting, tax preparation, and business consulting services only. We do not provide legal advice. Clients requiring legal counsel should consult a licensed attorney in the applicable jurisdiction.

9. Termination

Either party may terminate the engagement with 30 days written notice. Upon termination, the client remains responsible for fees incurred for services already performed. We will provide reasonable assistance in transitioning records to a successor firm.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America.
